Syncpoint

License Agreement

Effective October 21, 2026 · Figure 5 LLC

In short (also shown in Syncpoint before first use):

  • Syncpoint reads the open sequence and creates a new one; it never changes the original.
  • No project information leaves this computer unless Send feedback is used.
  • 3 free syncs, then an activation code.
  • No copying, reverse engineering, or using Syncpoint or anything learned from it to build or train any other software or AI, without our written permission. Breaking these terms can lead to legal action.

Figure 5 LLC ("we") licenses Syncpoint ("the software") to you on these terms. By installing or using the software, you agree to them.

1. License

We grant you a non-exclusive, non-transferable license to install and use the software with Adobe Premiere Pro. Without an activation code you may complete 3 syncs per computer. An activation code, bought once, lets you use the software on up to 2 computers you own or control. Moving to a new computer can be arranged through the question form at the bottom of syncpoint.video, or Send feedback, in Syncpoint's Settings.

2. What the software does to your work

The software reads the sequence open in Premiere and creates a new sequence. It does not modify the original sequence or any media file. You remain responsible for keeping backups of your projects and media.

3. Ownership and confidentiality

The software, including its code, structure, sequence and organization, algorithms, methods, thresholds, workings, behavior, documentation, and all information about how it was designed, developed and tested, is owned by Figure 5 LLC. It contains our trade secrets and confidential information, and is protected by copyright, trade secret, patent and other intellectual property laws of the United States and other countries. It is licensed to you, not sold. All rights not expressly granted in this agreement are reserved by us. You must keep confidential anything you learn about how the software works beyond what it shows you in normal use, and you may not disclose it to anyone.

4. Restrictions

Unless we have given you explicit permission in writing, signed by Figure 5 LLC, you may not, and may not help, allow, instruct or enable any other person, company or automated tool, agent or service to:

These restrictions apply to the fullest extent the law allows, and survive the end of this agreement. Where the law where you live expressly permits an action despite them, you may take that action only to the minimum extent the law requires, and only after giving us written notice.

5. Enforcement

Any breach of sections 3 or 4 ends your license immediately and without notice, and may expose you to civil and, where the law provides, criminal penalties, including for copyright infringement and trade secret misappropriation. Because such a breach would cause us irreparable harm that money alone cannot repair, we are entitled to seek a court order (injunctive relief) to stop it without posting a bond, in addition to damages, an accounting and transfer of any profits you made from the breach, and any other remedy the law allows, and to recover our reasonable legal fees and costs where the law permits. Our not enforcing a term at any time is not a waiver of it.

6. Data

What leaves your computer, and when, is set out in the Privacy Policy. In short: the license service receives an anonymous code for your computer and your activation code; Send feedback sends only what you choose to send.

7. Updates

Updates may be offered through Adobe's Creative Cloud marketplace or our website. Updates within version 1 are included with the purchase.

8. No warranty

Syncpoint aligns footage by timecode, recorded time, audio and transcripts. Results depend on the footage and on Premiere. The software is provided "as is", without warranties of any kind, to the extent the law allows. Check the synced sequence before relying on it.

9. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost data, and our total liability is limited to the amount you paid for the software.

10. Suspending or ending the license

We may suspend or deactivate an activation code, with or without notice, if we reasonably believe these terms have been broken: for example, a code used on more than its allowed computers, shared, published or sold; a purchase made by fraud or later refunded or charged back; or an attempt to get around the activation or any other protection. A code deactivated for a breach is not refunded. If we deactivate a code by mistake, we will restore it or refund its purchase. Codes given free of charge may be deactivated at our discretion.

The license also ends if you break these terms; you must then stop using and delete the software. Refunds are otherwise covered by the Refund Policy. Sections 3, 4, 5, 8, 9 and 11 survive the end of the license.

11. Law

This agreement is governed by the laws of the State of California. The courts of Los Angeles County, California have jurisdiction over any dispute.
